Supplier Terms and Conditions

The general conditions for purchase of goods consist of both General Conditions for Purchase of Major Goods (“Major”) and General Conditions for Purchase of Minor Purchases (“Minor”).

The relevant set of terms to be used will depend on a set of parameters.

Minor should be used when:

  • the complexity, specialization and diversity of the contract object(s) is low. (e.g. off the shelf and bulk items)

Major should be used when:

  • the complexity, specialization and diversity of the contract object(s) is high. (e.g. fabrication of a special item pursuant to design drawings provided by BUYER or when services are provided at yard or on vessel)
  • certain parts of the Work will be subcontracted by Seller to any sub-suppliers
  • there is need for control of the work and access to the Seller’s site products with risk of emitting pollution
